General Terms and Conditions

1. General

These general terms and conditions (the “Terms”) apply to any services or products provided by Headcount Technologies AB, 559465-8527 (“Headcount”), either through our website (headcounthr.se), the cloud service (“Platform”), or through customer service, employees, or consultants, to you (the “Customer” or “You”). “Customer/You” refers to either a legal entity or an individual end-user. By accessing our services, you confirm that you understand and accept these Terms. If you do not agree, do not use the Services.

2. License

Headcount grants you a personal, non-transferable, non-exclusive, time-limited, and revocable license to use the Platform.

2.1. You are responsible for providing the necessary equipment to use the Platform, such as data, telephone, and hardware.

2.2. You are fully responsible for any information entered or processed on the Platform, including personal information, photos, and documents.

2.3. You are responsible for keeping your username and password secure and ensuring they are not accessible to third parties.

2.4. You must not:

• (a) Use the Platform in violation of any law or these Terms, including infringing on intellectual property rights.
• (b) Sell, distribute, license, or copy any part of the Platform.
• (c) Reverse-engineer or create derivative works from the Platform.
• (d) Interfere with or disrupt the Platform or attempt unauthorized access to related systems.
• (e) Rent or lease the Platform without prior written consent from Headcount.

3. The Services

Headcount offers a cloud-based HR management service (“Platform”) with features including whistleblowing, insights, onboarding, and offboarding. The service is intended for use under Swedish and Nordic jurisdictions.

3.1. Headcount reserves the right to update the Platform to improve performance and offerings.

3.2. Headcount provides digital signatures via Inleed docusign, using email or Swedish Bank-ID.

4. Subscription Plans and Pricing

4.1. Headcount’s offerings are defined as “Plans” with different features and pricing. Plans can be viewed on our website.

4.2. Plans include a specified number of users. If you exceed the user limit, additional fees apply.

4.3. E-signature fees are added to your subscription based on usage.

4.4. Prices are displayed excluding VAT. Payment is handled via Stripe, which securely stores all payment information.

4.5. You are responsible for ensuring your payment method is valid. If payment cannot be processed, Headcount reserves the right to pause or cancel your subscription.

4.6. You can choose either a monthly or annual billing cycle, paid in advance. Add-ons are charged in arrears.

4.7. You may upgrade or downgrade your Plan at any time. Price adjustments are calculated based on the change date.

4.8. You can view and manage your subscription via the Platform’s settings page.

4.9. Headcount reserves the right to modify Plan features, pricing, and add-ons.

4.10. By continuing to use the Platform after price changes take effect, you agree to the new pricing.

5. Term & Termination

5.1. The term of your subscription depends on whether you choose a monthly or annual plan.

5.2. You can terminate your subscription at any time via the settings page or by emailing hello@headcounthr.se.

5.3. Notice periods vary: one month for monthly plans, and the remainder of the year for annual plans.

5.4. You are obligated to pay fees during the notice period.

5.5. Upon termination, you can request that your data be deleted or stored for future use. Refer to Headcount’s Privacy Policy for details.

5.6. Obligations arising from breaches of these Terms remain in effect after termination.

5.7. Headcount may terminate this agreement immediately if:

• (a) The Customer becomes bankrupt.
• (b) The Customer fails to pay in accordance with section 4.
• (c) The Customer breaches this agreement.
• (d) The Customer engages in fraudulent or criminal activities.

5.8. Headcount may seek compensation for costs related to the above breaches and is not liable for fees in case of service termination.

5.9. You confirm that neither you nor any entity you represent appears on international sanction lists (OFAC, FATF, EU, UN, or Swedish Government). Headcount reserves the right to monitor compliance with this policy and may terminate access to the service if violations occur.

6. Intellectual Property Rights

6.1. All intellectual property in the Platform remains the exclusive property of Headcount or its licensors. Upon termination, all rights granted to you under this agreement are revoked.

6.2. You are responsible for ensuring compatibility between the Platform and third-party software.

7. Ownership of Data

7.1. You own all user data entered into the Platform. Headcount processes this data solely to provide the service.

7.2. Headcount reserves the right to use anonymized data for analysis, machine learning, and improvements to the Platform. Headcount owns all derivative data and intellectual property created from such data.

8. Miscellaneous

8.1. These Terms constitute the entire agreement between you and Headcount. Headcount reserves the right to update the Terms.

8.2. Headcount may assign these Terms to a subsidiary or third party as part of a business transfer.

8.3. Headcount may hire subcontractors to fulfill its obligations under this agreement.

8.4. Notices to you will be sent via the email provided during registration. Notices to Headcount should be sent to hello@headcounthr.se.

8.5. These Terms shall be governed by and interpreted in accordance with Swedish law. Any disputes shall be resolved by the Arbitration Institute of the Stockholm Chamber of Commerce.

9. Change of Control

Headcount reserves the right to assign or transfer this agreement, in whole or in part, without prior consent from the Customer.
